3.73 for 3.23 Swap??

Engine: 305 TPI
Transmission: Stock
3.73 for 3.23 Swap??
Hello all.
From my research My 1985, 305 tpI IROC has an 3.23 rearend. The gears have seen much better days. I have the opportunity to grab an 3.73 rearend with disc brakes for pretty cheep.
Other then the spedo being off is there anything else I would have to consider to change out the rearends?
