Yes. The highs and probably the mids will be muffled. If you're using stock speakers, I doubt it'll be noticable, but with any sort of quality speaker, it'll be easily noticable.

you can get headliner material at any good fabric store, or you can use prety much any slightly streachable fabric. my sister used fleece on her headliner and sailpannels. turned out verry nice. a clean aqua blue. original indeed.

felt is not that streachy, it is also a more dense material then headliner foam. as a test (since i take it the only reason you want to use felt is that you already have some) put it over your pc speakers and see how it sounds.
