Check this out...

About 2 months ago my tranny gave out, worked when cool, and just stoped working when warm, im pritty sure it wasnt shifting and thats what caused it. today i took the pan off just to look and it was real nasty, thick black gunk covering the pan and that little magent thing, then in the filter i knoticed metal flakes. now im wondering, chould my transmission have just maby a week or 2 of life left if i put in a new filter? i only have 2 weeks till i have enough money to put my th350 in. so i figure if the filter was clogged that chold be causing my problems, because it does work nice when cold.

Since you're junking the tranny in 2 weeks anyways, replace the filter and tranny fluid, and make sure that you have AAA

If it's like this for months then I dont see why it wouldnt last you another 2 weeks. Of course you know as well as I do that replacing the tranny fluid and filter will not be a permanent fix, but it should work for the next 2 weeks. (If it doesnt, dont come hunting me down )

problem

got a few problems, im pritty sure i have the filter stuck in the right hole, only hole i saw, and i got it as far in as it seemed it wanted to go, but when i try to bolt it on i get one corner on, go to the other side and i cant get it to sit flush. i also cant seem to keep the gasket clean while doin all this.

You need to make sure that the old o-ring (metal ring coated with rubber actually) from the old filter has been removed; they like to stay in the pump when you pull the old filter out. That will cause the new filter (with its additional new sealing ring) to sit lower than designed..

Ditto on the ring. Clear the old gasket out of the filter tube and then reinstall.
