Check out the tech articles. You'll want to be careful which 4th gen setup you get. The LT1's will work but the LS1's use a different cluch (pull/push, I forget).

There is a tech article on this site that tells you how to do it. Here's the link directly to it:

Also search this board, several other people have done the swap and posted about it. For cost, expect to spend $1500 for the trans and related parts, and more for installation.

Get a T-56 from a 94-97 4th gen. Make sure you get everything from the flywheel back. Also, make sure you get the clutch slave cylinder. It is different from the T-5 slave, but bolts right in. Order a crossmember from Skulte. Except for having to removed about 2 inches of the floor pan, behind the T-5 shifter hole, it is then a bolt in project. You can reuse your trans mount, but I bought an urethane one. You can also use you driveshaft, but I did switch the front yoke to the 6 speed one, for more slpine engagement. All in all, it can be done in a day very easily.

You, uh, didn't mention the VSS issue. The T56 uses a 40-pole reluctor to generate VSS output...early third-gens need a cable-drive, late third-gens need a 4,000 pulse/mile VSS input.
For early thirdgens, you either can spend $350 to have JTR convert your T56 tailhousing to mechanical drive; or you can spend $75 buying either Cyberdyne or Dakota Digital boxes and swap to an electronic speedo.
For late thirdgens, it's just the $75 brain box and some rewiring.
