Is my tranny dying?

If I am cruising at 45 mph and I hit the gas my trans (700-r4) doesnt like to downshift, I have to really punch it to get it to downshift. When it does finally downshift it takes a second to finally lock into gear. Also sometime while accellerating it will take 1-2 seconds to change to the next gear. I dont know when, if ever, the fluid/filter was last changed. I checked it and the level is fine but it is a pale orange color and also has some black silt in it. Other than those problems the tranny is fine, if you dont ever need to accelerate quickly you wouldnt notice a thing.
Sorry if this is a little incoherant, but I am trying to cram a lot of info in here. I am kind of hoping the trans is dead, good excuse to do the t-56 conversion.
Ps. The car has about 100k on it

It is not really unussual for a 700 to not resond exactly as you want it to. One of the primary reasons is the Throttle Valve tends to stick. This is the primary cause if failure in these units. The only sure fire way to correct these problems is the TransGo Kit.
