Trans Grind to 3rd and 4th

Trans Grind to 3rd and 4th
I just bought a 91 firebird last week with a rebuilt 305(heads rebuilt also) 5 speed tranny, has a new 4 barrel 650 holley carb and a new intake.
When I was taking it home the car ground into 3rd and 4th only (not as bad at lower rpm's). But it would grind both up and down while shifting only into those gears. Others were perfectly fine.
Also, after it has been sitting for a while it's hard to keep the car started. It starts great...but soon dies. So I start it again, and this time it stays for about 5 seconds before it dies again. And so on until it warms up a little more and I can actually drive it. Sadly it takes about 20 starts until I can actually drive it.
I got the car for cheap so i'm expecting problems but I dont know if these are going to be major problems or just a quick fix. Any ideas???
