Car downshifts at 35+ when letting off the accelerator?

Engine: 355 V8, 2.8L V6
Transmission: 700r4
Axle/Gears: 3.23
Car downshifts at 35+ when letting off the accelerator?
Hi guys, I have yet another problem with my 'bird and no idea where to start fixing it.
Here's the prob: When driving at 35+ the car will downshift as soon as I let off the accelerator, and a second after I start accelerating it will upshift again. But when in overdrive this problem doesn't occur, it also didn't happen this past monday when I had the heat on. Anyone have any ideas?

It this possibly the TCC unlocking & locking that you feel? The TCC will unlock with the foot off of the go-pedal (coast release). And lock again once the pedal is pushed on even a little bit.
Also, in 4th, the overrun clutches are not applied. With this the vehicle keeps on rolling. There isn't any engine braking in 4th. Which does happen in 1, 2, & 3rd gears.

Sorry for the late reply, been alittle busy with work (can't believe it's almost been 3 weeks since I posted this). After some googling it appears it is most likely the TCC, but is it normal that it will only lock and unlock after the car is running for a min or two?
