It replaces the timing chain. I have one on my 350, a quiet one and I love it.

You'll need to take off the water pump and timing cover.
Expect to pay $150 or so for a new one.

I got a Pete Jackson noisy one to put in. Is it a pain to do cause I heard that you gotta drop the oil pan to get the timing cover off.

It can be a pain for the novice, the oil pan doesnt have to come off but it is a good time to change the gasket. You can loosen up the bolts on the oil pan, pull the timing cover off. You'll need a gear puller to remove the crank sprocket. When you put the timing cover and new seal on, trim the "ears" off both sides and use a lot of "blue glue". Like I said, its possible but personally wouldnt recommend it. Can definitely end up in a big mess.

If you take out the 2 front bolts of the oil pan, it makes it a lot easier.

Are there any differences in performance between a conventional timing chain setup and a gear drive setup?

I hear you can lose a few hp from a gear drive, due to friction. But nothing, noticable.
